Welcome to Dream Product Manufacturing ("DPM", "we", "us", or "our"). By accessing or using our website, platform, and services, you agree to be bound by these Terms of Service ("Terms"). If you do not agree with these Terms, please do not use our services.

1. Services

Dream Product Manufacturing provides contract manufacturing services including product formulation, coffee sachet packaging, capsule manufacturing, powdered beverage production, quality assurance, branding and packaging design, and regulatory compliance assistance. Our platform allows clients to manage quotations, production orders, and deliveries online.

2. Account Registration

• You must register an account to access our platform's client features.
• You must provide accurate, complete, and current information during registration.
• You are responsible for maintaining the security of your account credentials.
• You must be at least 18 years old and authorized to represent your company.
• Your account must be approved by our admin team before full access is granted.
• You may use Google Sign-In for authentication; we only access your name and email for this purpose.

3. Client Responsibilities

As a client, you agree to:

• Provide truthful and accurate company and product information.
• Submit valid business registration documents and permits when requested.
• Comply with all applicable laws, including FDA and DTI regulations.
• Not use our services for any illegal or unauthorized purpose.
• Respect intellectual property rights of DPM and other clients.
• Pay all invoices and charges on time according to agreed payment terms.
• Not share your account access with unauthorized individuals.

4. Quotations and Orders

• Quotations are valid for the period specified on the quotation document.
• Production orders are confirmed upon receipt of the required downpayment.
• Lead times are estimates and may vary based on material availability and production capacity.
• Minimum order quantities (MOQ) apply as specified in each quotation.
• Custom formulations and branding designs remain DPM property until full payment is received.
• Cancellations are subject to our cancellation policy and may incur charges for work already completed.

5. Payment Terms

• A downpayment of at least 60% is required before production begins, unless otherwise agreed.
• Full payment is required before delivery of finished products.
• Late payments may result in production delays or suspension of services.
• All prices are in Philippine Pesos (PHP) unless otherwise stated.
• Prices are subject to change based on raw material costs; confirmed quotations lock in agreed pricing.

6. Intellectual Property

All content on our platform, including text, graphics, logos, formulations, and software, is the property of Dream Product Manufacturing or its licensors and is protected by intellectual property laws. You may not reproduce, distribute, or create derivative works without our express written permission.

Formulations developed by DPM and tagged as "Ready for Rebranding" may be used across multiple client products. Formulations tagged as "Exclusive" are locked to a single client product upon connection.

7. Confidentiality

Both parties agree to keep confidential all proprietary information shared during the course of business, including formulations, pricing, product specifications, and business strategies. This obligation survives termination of any business relationship.

8. Quality and Compliance

• We manufacture products following FDA guidelines and GMP-certified standards.
• Clients are responsible for obtaining their own product registrations with the FDA.
• We provide assistance with compliance documentation but do not guarantee FDA approval.
• Product quality claims must be supported by appropriate testing and documentation.
• We reserve the right to refuse manufacturing of products that violate regulatory standards.

9. Limitation of Liability

Dream Product Manufacturing shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services. Our total liability shall not exceed the amount paid by you for the specific service giving rise to the claim.

10. Warranties

We warrant that our manufacturing services will be performed in a professional and workmanlike manner consistent with industry standards. We do not warrant that our platform will be uninterrupted, error-free, or secure at all times. All services are provided "as is" except as explicitly stated in writing.

11. Termination

We may suspend or terminate your account if you violate these Terms, fail to make required payments, or engage in conduct harmful to DPM or other clients. You may request account deletion at any time. Upon termination, all outstanding payments become immediately due.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of the Philippines. Any disputes shall be resolved in the appropriate courts of the Philippines.

13. Changes to Terms

We may update these Terms from time to time. We will notify you of significant changes by posting the updated Terms on this page. Your continued use of our services after changes constitutes acceptance of the updated Terms.
